1. Acceptance of These Terms
These Terms of Service ("Terms") form a binding agreement between you ("you," "Customer," or "User") and Sodara™ Labs Inc., a Delaware corporation ("Sodara," "we," "us," or "our"), governing your access to and use of LADS™ Hub, our web-based software for coordinating and sequencing drone flight paths and managing low-altitude drone operations, including airspace intelligence, together with its associated websites, applications, APIs, dashboards, and related online services (collectively, the "Service").
By creating an account, clicking "I agree," or accessing or using the Service, you accept these Terms, our Privacy Policy, our Acceptable Use Policy, and our End User License Agreement, each incorporated by reference. If you do not agree, do not use the Service.
If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

3. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract. The Service is intended for commercial and professional use and is not directed to consumers or minors.
You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your credentials and for all activity under your Account, including activity by your authorized users. Notify us promptly at bryce@sodaralabs.com of any unauthorized use. You are responsible for ensuring your authorized users comply with these Terms. We may refuse, suspend, or terminate accounts as permitted under these Terms.
4. Description of the Service
LADS Hub is a hosted software service that provides airspace situational awareness by presenting and analyzing information about uncrewed aircraft system (UAS) activity — including RF detections and Remote ID broadcasts — and by offering analytics, alerting, mapping, and sequencing tools through a web-based interface.
The Airspace Data presented in LADS Hub is sourced from Sensing Infrastructure operated by Sodara or rented to and operated by Customers. Coverage, availability, and the data presented depend on that infrastructure and on factors outside Sodara's control, and may vary by location and over time. Access to LADS Hub is provided together with the rental of LADS LINK units (Section 5); a rented unit's use is governed by Section 5A and the End User License Agreement.
The Service is an informational and decision-support tool only. It is not an air traffic control service, an aircraft separation or collision-avoidance system, a counter-UAS or mitigation system, a public-safety or life-safety system, or a certified aviation system. See Section 11.
5. Access to the Service
Access to LADS Hub is provided together with the rental of LADS LINK units under a Rental Order placed with Sodara or an Authorized Rental Partner. Each rented unit includes access to the Service for the Rental Term for up to the number of users stated in the Rental Order; renting additional units adds users accordingly. Access begins when the Rental Term begins and ends when it ends, unless the Rental Order states otherwise. Sodara may also grant access on other written terms, for example to technology licensees or to evaluation users, in which case those written terms govern the access they describe.
The Service evolves. We may modify, add, or remove features, and we strive to maintain reasonable availability but do not guarantee uninterrupted access.
5A. LADS LINK Units — Rental Terms
Where you rent LADS LINK units, the following terms apply in addition to the Rental Order, the End User License Agreement and the Acceptable Use Policy:
- Delivery and return. Units are delivered in a flight case with the unit, its batteries and accessories as listed in the Rental Order, and must be returned in the same case, complete and in the condition received (normal wear excepted), within the return period stated in the Rental Order.
- Title and risk of loss. Title to each unit remains with Sodara or the Authorized Rental Partner at all times. Risk of loss or damage passes to you on delivery and returns to the lessor when the unit is received back. You are responsible for the replacement value stated in the Rental Order for any unit, case, battery or accessory that is lost, stolen, or returned damaged beyond normal wear, and for any late-return fees stated in the Rental Order.
- Use. You will operate units only as documented, at the venue and for the event stated in the Rental Order, and will not open, modify, flash, relocate for other purposes, or sublet them. Firmware is licensed under the End User License Agreement for the Rental Term only.
- Defective units. A unit that fails in normal use during the Rental Term will be repaired or replaced by the lessor as your sole remedy. Units are otherwise provided as is, and Section 11 applies.
- Recall and suspension. Units may be recalled and access suspended for a breach of these Terms or the Acceptable Use Policy.
5B. Authorized Rental Partners
Authorized Rental Partners are independent businesses. Where you rent LADS LINK units from an Authorized Rental Partner, your Rental Order is a contract between you and that partner; the partner is responsible for the delivery, condition, support and return of the units and for its own conduct, and Sodara is not a party to that contract or liable for the partner's acts or omissions. These Terms, the End User License Agreement and the Acceptable Use Policy govern your use of the Service and of the units' firmware regardless of which party rents the units to you.
6. Fees and Billing
Fees are set out in your Rental Order. Unless the Rental Order states otherwise: (a) fees are quoted in U.S. dollars and are exclusive of taxes; (b) fees are due as stated in the Rental Order and are non-refundable except as required by law or expressly stated; and (c) you authorize the party you ordered from (or its payment processor) to charge your payment method for all fees due, including replacement value and late-return fees under Section 5A. Late or failed payment may result in suspension of the Service and recall of units.
7. License to Use the Service
Subject to these Terms and payment of applicable fees, Sodara grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use LADS Hub for your internal business purposes during your Rental Term or other authorized access period. The Service is licensed and provided as a hosted service, not sold, and is further governed by the End User License Agreement. You may not (a) resell, sublicense, or provide the Service to third parties except as expressly permitted; (b) copy, modify, or create derivative works of the Service; (c) reverse engineer or attempt to derive source code except to the extent permitted by law; (d) access the Service to build a competing product; or (e) circumvent usage limits or access controls. A license to incorporate LADS technology, software or hardware designs into your own products or services is granted only under a separate written technology license agreement with Sodara; nothing in these Terms grants such a license.
8. Your Obligations and Acceptable Use
You agree to use the Service lawfully and in accordance with the Acceptable Use Policy, including all applicable aviation, radio-frequency, privacy, and surveillance laws and regulations. You are solely responsible for ensuring that your use of the Service and any Airspace Data complies with applicable law in your jurisdiction.
9. Data Rights
Customer Content. You retain all rights in Customer Content. You grant Sodara a worldwide, non-exclusive license to host, process, and use Customer Content to provide and support the Service.
Airspace Data. As between you and Sodara, Sodara owns all right, title, and interest in the Service and in Airspace Data, including detections, derived analytics, models, and aggregated outputs. You receive a license to access and use the Airspace Data made available to you through the Service during your Rental Term or other authorized access period for your internal business purposes, subject to these Terms, the Acceptable Use Policy, and applicable law.
Aggregated / De-identified Data. Sodara may create and use aggregated or de-identified data derived from operation of the Service to operate, improve, and develop its products and services, provided such data does not identify you or any individual.
Remote ID and Third-Party Data. Airspace Data may include Remote ID and other broadcasts that originate from third parties and may contain information relating to UAS operators or control stations. Remote ID is a public, unencrypted broadcast designed to be received by parties with compatible equipment; the Service receives and processes such broadcasts. Your handling of this data is subject to the Privacy Policy and the Acceptable Use Policy. You agree not to use it to identify, locate, track, harass, or interfere with any person except as expressly permitted by law.
10. Intellectual Property
The Service, including all software, documentation, designs, models, and the LADS™ marks, is owned by Sodara or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted, no rights are granted to you. You may not remove proprietary notices or use Sodara's marks without prior written consent. Feedback you provide may be used by Sodara without restriction or obligation.
11. Disclaimers — Read Carefully
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, SODARA DOES NOT WARRANT THAT THE SERVICE WILL DETECT ALL UAS OR RF ACTIVITY, WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, OR ERROR-FREE, OR THAT ANY DETECTION, NON-DETECTION, ESTIMATE, ALERT, OR COVERAGE IS CORRECT, AVAILABLE, OR TIMELY. AIRSPACE DATA DEPENDS ON SENSING INFRASTRUCTURE AND ON ENVIRONMENTAL AND OTHER FACTORS OUTSIDE SODARA'S CONTROL, AND RF DETECTION IS INHERENTLY PROBABILISTIC.
The Service is not a safety-of-life system and must not be relied upon for any decision affecting safety, security, aircraft separation, or compliance. You are responsible for independently verifying information and for maintaining appropriate procedures, personnel, and systems. You assume all risk arising from your use of, or reliance on, the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SODARA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
SODARA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SODARA FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. DURING ANY PERIOD IN WHICH THE SERVICE IS PROVIDED FREE OF CHARGE, SODARA'S LIABILITY WILL NOT EXCEED USD 100.
Some jurisdictions do not allow certain limitations; in such cases the limitations apply to the fullest extent permitted.
13. Indemnification
You will defend, indemnify, and hold harmless Sodara and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your Customer Content; (c) your violation of these Terms, the Acceptable Use Policy, or applicable law (including aviation, RF, privacy, or surveillance law); or (d) your handling or use of Airspace Data, including any third-party or Remote ID data.
14. Term, Suspension, and Termination
These Terms apply while you use the Service. Your access ends with your Rental Term or other authorized access period unless renewed under a new Rental Order. We may suspend or terminate your access immediately if you breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Service, other users, or third parties. Upon termination, your right to access the Service ends, you must cease use, and any rented LADS LINK units must be returned under Section 5A. We may delete Customer Content after a reasonable period following termination. Sections that by their nature survive (including 5A, 5B, 9–13, 15, 18, and 20) survive termination.
15. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and disclose it only to those with a need to know who are bound by similar obligations. This does not apply to information that is public, independently developed, or rightfully received from a third party, or to disclosures required by law (with notice where permitted).
Sodara Confidential Information. Non-public information about the Service that you learn through your access — including its design, detection capabilities and limitations, non-public documentation, and pricing — is the Confidential Information of Sodara. You agree not to publish benchmarks or performance comparisons of the Service without Sodara's prior written consent. This obligation continues during and after your use of the Service.
16. Modifications
We may modify these Terms or the Service. We will provide notice of material changes (for example, by email or in-product notice). Changes are effective as stated in the notice. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
17. Third-Party Services
The Service may rely on or interoperate with third-party services (for example, hosting, connectivity, and mapping providers). Sodara is not responsible for third-party services, and your use of them may be subject to their own terms.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
ARBITRATION. Except for claims for injunctive relief or intellectual-property infringement, any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its commercial rules, seated in Wilmington, Delaware. Each party waives any right to a jury trial and to participate in a class or representative action. Either party may bring qualifying claims in small-claims court.
19. Export Controls and Sanctions
The Service and any related technology may be subject to U.S. export-control and sanctions laws, potentially including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR). You represent that you are not located in, or a national of, any embargoed or restricted jurisdiction and are not on any restricted-party list, and you agree not to export, re-export, or transfer the Service or related technology in violation of applicable law.
20. General
These Terms, together with the incorporated policies and your Rental Order, are the entire agreement between the parties and supersede prior agreements on the subject. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given via the Service or your registered email; notices to us must be sent to bryce@sodaralabs.com. Neither party is liable for delays caused by events beyond its reasonable control.
