LADS™ Technology — End User License Agreement (EULA)

LADS™, Low Altitude Drone Sequencing™ and Sodara™ are trademarks of Sodara Labs Inc.

1. Agreement

This End User License Agreement ("EULA") is a binding agreement between you ("you" or "Licensee") and Sodara™ Labs Inc. ("Sodara") governing your use of the LADS™ platform software, applications, APIs, and the firmware embedded in LADS LINK units (collectively, the "Software"). This EULA is incorporated into, and subject to, the Terms of Service. If there is a conflict, the Terms of Service control except as to matters specific to the Software license, which this EULA controls.

By installing, accessing, or using the Software, you agree to this EULA. If you do not agree, do not use the Software.

2. License Grant

Subject to your compliance with this EULA, the Terms of Service, and payment of applicable fees, Sodara grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during your Rental Term or other authorized access period under the Terms of Service, to:

(a) access and use the Platform software for your internal business purposes; and (b) use the firmware embedded in any LADS LINK unit provided to you, solely as part of, and for the duration of, your authorized rental and use of that unit.

The Software is licensed, not sold. You receive only the rights expressly granted here. A license to incorporate LADS technology into your own products or services is granted only under a separate written technology license agreement with Sodara.

3. License Restrictions

You may not, and may not permit any third party to:

  • copy, modify, translate, or create derivative works of the Software, except as expressly permitted;
  • distribute, sell, rent, lease, lend, sublicense, or otherwise make the Software available to any third party;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying algorithms, or protocols of the Software, except to the limited extent this restriction is prohibited by applicable law;
  • remove, alter, or obscure any proprietary notices;
  • use the Software to develop a competing product or service, or to benchmark for competitive purposes without consent;
  • circumvent license, usage, or technical-protection measures; or
  • use the Software in violation of the Acceptable Use Policy or applicable law.

4. LADS LINK unit Firmware

Firmware embedded in LADS LINK units is licensed, not sold, and remains the property of Sodara. Because LADS LINK units are provided on a rental basis, your firmware license is tied to your authorized rental and terminates when the unit is returned or your rental ends. You may not extract, copy, modify, flash, or reverse engineer LADS LINK firmware, and you may not transfer firmware separately from an authorized unit.

5. Ownership

Sodara and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights, and the LADS™ and Sodara™ marks. No title or ownership is transferred to you. All rights not expressly granted are reserved.

6. Third-Party and Open-Source Components

The Software may include third-party or open-source components licensed under their own terms. Those terms govern your use of such components and, to the extent required, take precedence over conflicting terms of this EULA for those components only. A list of such components and licenses is available upon request.

7. Updates

Sodara may provide updates, upgrades, patches, or new versions of the Software. Such updates are part of the Software and subject to this EULA unless accompanied by separate terms. Sodara may update or modify the Software, including for security, compatibility, or compliance, and may discontinue features.

8. Term and Termination

This EULA is effective until terminated. It terminates automatically at the end of your Rental Term or other authorized access period, upon termination of the Terms of Service, or if you breach this EULA. On termination, you must cease all use of the Software and, where applicable, return any LADS LINK units. Sections 3, 5, 6, 9, 10, 11, and 12 survive termination.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SODARA DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL DETECT ALL UAS OR RF ACTIVITY. See the disclaimers in the Terms of Service, which also apply.

10. Limitation of Liability

THE LIMITATIONS AND EXCLUSIONS OF LIABILITY SET OUT IN THE TERMS OF SERVICE APPLY TO THIS EULA AND ARE INCORPORATED BY REFERENCE.

11. U.S. Government End Users

The Software is "commercial computer software" and "commercial computer software documentation" as those terms are used in FAR 12.212 and DFARS 227.7202. If acquired by or on behalf of the U.S. Government, the Government receives only the rights granted to all other end users under this EULA, consistent with FAR/DFARS.

12. Export Controls

The Software may be subject to U.S. export-control and sanctions laws (potentially including the EAR and, where applicable, the ITAR). You agree to comply with all such laws and not to export, re-export, or transfer the Software in violation of them, and you represent that you are not a restricted party or located in an embargoed jurisdiction.

13. General

This EULA, together with the Terms of Service and incorporated policies, is the entire agreement regarding the Software. If any provision is unenforceable, the rest remains effective. This EULA is governed by the laws of the State of Delaware. You may not assign this EULA without Sodara's consent.
